TMN Acquires WebSpace Co., Ltd.

Transaction Media Networks Inc. (Headquarters: Chuo-ku, Tokyo; Representative Director : Atsushi Otaka； Ticker(TSE Growth): 5258; hereinafter “TMN”) is proud to announce its acquisition of WebSpace Co., Ltd.(Headquarters: Chiyoda-ku, Tokyo; Representative Director : Takuo Fujita; hereinafter “WebSpace”), a digital transformation provider for distribution businesses, as well as a for utility and tax payment available at convenience stores.

Background and Purpose behind the M&A

TMN has provided services related to Cloud Point-of-Sales (POS), House Prepaid/ID integration and Marketing to expand its Electronic Payment Gateway Service , as well as aimed to expand its Transaction Platform Services that grows and supports all types of digital data from payment settlement to purchase history.

WebSpace, since its founding in 1998, has continuously developed systems such as the POS/Electronic Ordering System (EOS) based retail system and “MMK Payment Receiving Service*¹” to provide reasonable and full coverage services to all types of distribution businesses. WebSpace’s POS system is adopted by over 3,000 stores, while its MMK Payment Receiving Service is used by over 10,000 stores, covering from SMBs to large national chains.

By acquiring WebSpace as a subsidiary, TMN can fully utilize WebSpace’s existing customer network and its service provision and expand its Revenue Base, while WebSpace in turn can utilize TMN’s business platform for its further business expansion.

• *1：“MMK Payment Receiving Service” is a receiving agent service offered by Shinkin Information Service Ltd. And WebSpace that provides the same service as that of major convenience store chains’ receiving agent services

Electronic Payment Gateway Service :
• Combine TMN’s service and WebSpace’s MMK Payment Receiving Service to expand each entity’s customer network and Revenue Base
Transaction Platform Services :
• Utilize WebSpace’s POS system to speed up further function development of TMN’s Cloud POS system, while taking advantage of WebSpace’s 5 after-sales support offices nationwide to accelerate TMN’s Cloud POS business expansion

By mutually utilizing each entity’s services and customer network, TMN is planning to expand its existing business base, create new businesses in the information processing field, and further utilize and analyze its newly acquired data.
